1. Acceptance of Terms

By accessing or using the Ubigo platform or any services provided by CapiCorp (“Services”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

CapiCorp provides a real-time transport platform called Ubigo that offers colectivo tracking, fleet management, trip scheduling, and related tools for riders, drivers, and operators in Peru. The specific features available depend on your role and subscription plan.

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your account credentials.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any systems or networks
• Interfere with the proper working of the Services
• Upload malicious code or viruses
• Violate the intellectual property rights of others
• Resell or redistribute the Services without authorization

5. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all fees incurred. All fees are non-refundable except as expressly stated in these terms or required by applicable law.

6. Intellectual Property

The Services and all associated intellectual property rights are and shall remain the property of CapiCorp. You retain all rights to any content you submit, post, or display on or through the Services. By using the Services, you grant us a limited license to host and display your content solely for the purpose of providing the Services.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Limitation of Liability

To the maximum extent permitted by law, CapiCorp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will cease immediately. You may export your data prior to termination.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes through the Services or by email. Your continued use of the Services after such notice constitutes acceptance of the updated terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
